Overview

Our client, a Bristol based Housing Company, is looking to recruit a Governance Manager. Remote working and flexible hours will be considered, ideally with occasional attendance in the office.

The Governance Manager will be responsible for the company’s governance arrangements, working closely with the senior management team, Board and committees, to ensure efficient and effective operation in support of the Companies strategic objectives. A key part of the role will be to act as a point of communication between the board of directors and company shareholders, and executive management and will also include the following:

  • Delivering high quality support to the Board and its Committees.
  • Managing the shareholder meeting / reporting cycles and coordinating papers and reports.
  • Maintaining an up-to-date register of interests.
  • Leads on the annual review of compliance with governing documents, monitors NED’s Trustees’ term dates, reviews and updates of terms of reference.
  • Taking responsibility for the administration of the company.
  • Filing necessary documents with Companies House and other bodies as required.
  • Leading compliance related tasks including but not limited to Data Protection, Freedom of Information requests, Competition and Modern Slavery.

To be considered for this role it is essential that you have company secretarial, corporate administration and governance experience gained within professional services and/or industry. In addition, you will be a Member of the CGI/ICSA: The Governance Institute or have sufficient qualifying experience. You must also demonstrate the ability to work independently and as part of a small multidisciplinary team, on your own initiative and to strict deadlines. Strong interpersonal skills and effective verbal and written communication skills are also key. Excellent working knowledge of Microsoft 365 and Office plus Governance management systems such as Convene are also required.

Salary: £49000 – £60000 per annum
